Terms of Service

The agreement between you and AIR LABS for the use of FilaaS, the Laravel SaaS starter kit available at filaas.com.

1. Who we are

FilaaS (the "Service", "we", "us") is operated by AIR LABS Krzysztof Bączkiewicz, a sole proprietorship registered in Poland, NIP 7842446875 ("AIR LABS"). FilaaS is a Laravel-based software-as-a-service starter kit distributed as source code, together with the related website, documentation, and customer support, accessible at filaas.com.

2. Acceptance of terms

By creating an account, downloading the Service, or purchasing a subscription, you confirm that you have read, understood, and agreed to be bound by these Terms of Service, the Privacy Policy, and the license terms set out in the LICENSE.md file shipped with the Service. If you do not agree, you must not use the Service.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to enter into a binding contract. The Service is not directed at children and is intended exclusively for use by developers, agencies, and businesses building software products.

4. Account responsibilities

You are responsible for the accuracy of the information you provide at sign-up, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us at contact@filaas.com immediately if you suspect any unauthorized access.

The Service supports multi-tenant teams. The team owner is responsible for the actions of every member they invite, and for ensuring that members comply with these Terms.

5. The Service and license

FilaaS is provided to you as source code under an MIT-style license with a revenue-based commercial addendum, as set out in the LICENSE.md file shipped with the Service and authoritatively published at filaas.com. The currently published tiers are:

Free — for projects with monthly recurring revenue (MRR) up to USD 1,000. No subscription required. Pro — for projects with MRR up to USD 10,000. Requires an active Pro subscription. Studio — for projects with no MRR cap, plus white-label rights and unlimited projects. Requires an active Studio subscription.

If a project you operate exceeds the cap of your current tier, you have thirty (30) days to either upgrade to an adequate tier or stop using the Service in that project. The full license text and tier compliance rules are part of these Terms by reference.

6. Subscriptions, billing, and Stripe as merchant of record

Paid subscriptions (Pro and Studio) are offered on monthly and yearly intervals and renew automatically at the end of each billing cycle until cancelled. Pricing is published at filaas.com/#pricing in U.S. dollars.

All payments for paid plans are processed by Stripe, Inc., which acts as the merchant of record for the transaction. This means Stripe is the seller of record, issues the receipt or invoice, collects and remits applicable sales tax or VAT where required, and is your counterparty for the payment itself. AIR LABS remains the licensor of the underlying software and the party responsible for delivering the Service. Stripe's terms and privacy policy at stripe.com/legal apply to the payment relationship.

You authorize Stripe to charge your chosen payment method for the subscription fees, taxes, and any other amounts owed for the Service. If a charge fails, Stripe may retry and we may suspend the Service for your team until the balance is settled.

7. Cancellation and refunds

You can cancel a paid subscription at any time from the team's billing page in the in-app customer portal. Cancellation takes effect at the end of the current paid period; you keep access to the paid tier until then and are not charged again.

Because the Service consists of immediately delivered digital content (source code) and the subscription grants commercial use rights from the first day, you expressly request that performance begins immediately upon purchase and acknowledge that the statutory right of withdrawal under EU consumer law (where applicable) is lost once delivery has started. Refunds outside of this are at our sole discretion, processed via Stripe, and generally limited to duplicate charges or proven billing errors. Send refund requests to contact@filaas.com within fourteen (14) days of the charge.

8. Acceptable use

You agree not to: (a) use the Service to build a competing starter kit, template marketplace, or substantially similar redistributed product; (b) remove or obscure proprietary notices in the source code; (c) attempt to circumvent the tier caps in the license; (d) use the Service to host or transmit unlawful, infringing, defamatory, or malicious content; (e) attempt to gain unauthorized access to other accounts, teams, or the underlying infrastructure; (f) interfere with the integrity or performance of the Service or the data of other users.

9. Your content and your customers

Anything you build with FilaaS — your application, your branding, your data, your end users — remains entirely yours. We claim no ownership over the code you write or the data you process. You are solely responsible for compliance with the laws applicable to the product you build, including data protection, consumer protection, and tax law in the jurisdictions where you operate.

10. Intellectual property

The FilaaS source code, the FilaaS name, the filaas.com domain, the website design, and all related trademarks and goodwill are owned by AIR LABS or its licensors. Subject to your active license tier, you are granted the rights set out in LICENSE.md. No other rights are granted, expressly or by implication.

11. Suspension and termination

You may close your account at any time from your account settings; deletion is subject to a 30-day grace period during which the account can be restored, after which all personal data is permanently removed (see the Privacy Policy for details).

We may suspend or terminate your account, with notice where reasonably possible, if you materially breach these Terms, fail to pay an undisputed invoice, or use the Service in a way that creates legal or security risk for us or for other users. Sections that by their nature should survive (license, intellectual property, disclaimers, limitation of liability, governing law) survive termination.

12. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected. You are responsible for evaluating whether the Service is suitable for your use case before deploying it to production.

13. Limitation of liability

To the maximum extent permitted by law, AIR LABS will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim related to the Service is limited to the amounts you actually paid to Stripe for subscriptions to the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or, if no fees were paid, to EUR 100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable mandatory law, including liability for willful misconduct, gross negligence, death, or personal injury.

14. Indemnification

You agree to indemnify and hold AIR LABS harmless from any third-party claim arising out of (a) your use of the Service in violation of these Terms or applicable law, (b) the application, product, or content you build with the Service, or (c) your infringement of any third-party right.

15. Changes to the Service and to these Terms

We may modify, suspend, or discontinue features of the Service at any time. We may also update these Terms from time to time — for example, to reflect changes in the law, in our pricing, or in the Service itself. Material changes will be communicated by email to the address associated with your account and through the application at least fifteen (15) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept the changes, you may cancel your subscription before they take effect.

16. Governing law and disputes

These Terms are governed by the laws of the Republic of Poland, excluding its conflict-of-laws rules and, where applicable, the UN Convention on Contracts for the International Sale of Goods. The courts competent for the registered seat of AIR LABS in Poland have exclusive jurisdiction over any dispute arising from or related to these Terms, except where applicable consumer-protection law grants you the right to bring proceedings in your country of residence.

Consumers residing in the European Union may also use the European Commission's online dispute resolution platform at ec.europa.eu/consumers/odr.

17. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and the LICENSE.md file, are the entire agreement between you and AIR LABS regarding the Service.
